BPER: Government Will Not Exercise Golden Power Over Public Exchange Offer for Pop Sondrio

Milan, April 19 (LaPresse) – The Government will not exercise its golden power over BPER’s public exchange offer (Ops) for Pop Sondrio. This was announced in a statement by BPER Banca. BPER reports that “on April 18, 2025, the Presidency of the Council of Ministers communicated that it had resolved, in acceptance of the proposal from the Ministry of Economy and Finance, not to exercise the special powers under Decree-Law No. 21 of March 15, 2012, converted with amendments by Law No. 56 of May 11, 2012, with regard to the voluntary public exchange offer launched by BPER, pursuant to Articles 102 and 106, paragraph 4, of the Consolidated Law on Finance (TUF), for all the ordinary shares of Banca Popolare di Sondrio, excluding the shares of the issuer directly held by the offeror.”
